1. Definitions

• "Service" means the Clarity First platform, including all features, tools, and content.
• "User" means any individual who accesses or uses the Service.
• "Consultant" means a User who conducts discovery sessions and accesses analysis features.
• "Participant" means a User who participates in discovery interviews.
• "Client" means an organisation that engages Clarity First or a Consultant to conduct discovery work.
• "Content" means any data, text, audio, documents, or other materials uploaded to or generated by the Service.

2. Account Registration

2.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms.

2.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorised access

You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3. Use of the Service

3.1 Permitted Use

You may use Clarity First to:

• Conduct structured discovery conversations
• Analyse and synthesise interview data
• Generate reports and insights
• Collaborate with team members on projects

3.2 Prohibited Use

You agree NOT to:

• Use the Service for any unlawful purpose
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorised access to any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Scrape, harvest, or collect data from the Service without permission
• Impersonate another person or entity
• Use the Service to harass, abuse, or harm others
• Resell or redistribute the Service without authorisation

4. Content and Intellectual Property

4.1 Your Content

You retain ownership of all Content you upload to the Service. By uploading Content, you grant Clarity First a limited licence to store, process, and display your Content as necessary to provide the Service.

4.2 Our Content

The Service, including its design, features, code, documentation, and branding, is owned by Clarity First Limited and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

4.3 Anonymised Data

We may use anonymised and aggregated data derived from your use of the Service to improve our products, conduct research, generate industry benchmarks, and develop new features. Such data will be stripped of all identifying information and will not identify you, your organisation, your clients, or any individual participants.

For clarity: we will never share or publish your identifiable Content, interview transcripts, or analysis outputs without your explicit written consent.

5. Confidentiality

We treat all Content you upload as confidential and will not disclose it to third parties except as necessary to provide the Service, with your explicit consent, or as required by law.

6. Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Where you use Clarity First to process personal data on behalf of your organisation or clients, our Data Processing Addendum applies and is incorporated into these Terms. By using the Service, you accept the terms of the Data Processing Addendum.

7. Subscriptions, Credits & Payment

7.1 Plans & Credits

Clarity First operates on a credit-based system. Each live interview conducted through the platform consumes one credit. Importing existing transcripts does not consume credits and is included with any active subscription or credit pack. Credits are available through subscription plans or one-time purchases, at the prices published on our Pricing page.

7.2 Subscriptions

Subscription plans (Light, Essentials, Teams) are 12-month contracts billed either monthly or annually. Credits are allocated per billing period. Subscriptions auto-renew at the end of each billing period unless cancelled. You may cancel at any time from your billing dashboard; cancellation takes effect at the end of the current billing period.

7.3 One-Time Purchases

The Intro Pack is a one-time purchase. Credits from one-time purchases are valid for 12 months from the date of purchase.

7.4 Credit Top-Ups

Subscribers may purchase additional credits as one-time top-ups on top of their plan allowance. Top-up credits are valid for the remainder of the current subscription period and, provided the subscription is renewed at the same tier or higher, will carry over into the next subscription period. Top-up credits do not carry over beyond one renewal period and are not transferable between accounts.

You may upgrade or downgrade your subscription plan at any time from your billing dashboard. Changes take effect at the start of your next billing period.

7.7 Cancellation & Expiry

When a subscription is cancelled or a contract expires, your access to the Service continues in read-only mode. You can view your existing projects and outputs but cannot conduct new interviews or import transcripts until you subscribe or purchase credits. Transcript imports require an active subscription or credit pack.

7.8 Refund Policy

If you use all your available credits, new live interviews cannot be started until you purchase additional top-up credits, your next billing period begins, or you upgrade your plan. You may continue to import transcripts while your subscription is active. We will notify you when your credits are running low.

7.10 Price Changes

We may change our prices at any time. We will provide at least 30 days' notice of any price changes. Price changes will apply to your next billing period, not your current one.

7.11 Payment

All payments are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service. Prices are displayed in Euros (EUR) or British Pounds (GBP) and are exclusive of VAT where applicable. Clarity First does not store full payment card details; all card data is handled directly by Stripe as an independent controller for payment transaction data.

8. Term and Termination

8.1 Termination by You

You may terminate your account at any time by contacting us at info@clarityfirst.io or using the account deletion feature.

8.2 Termination by Us

We may suspend or terminate your access to the Service:

• For violation of these Terms
• For non-payment of fees
• If required by law
• At our discretion, with 30 days' notice

8.3 Effect of Termination

Upon termination or contract expiry, your right to access the Service ceases immediately. We will retain your data for 12 months after your contract ends, after which it will be permanently deleted. You may request a copy of your data before deletion.

These Terms are governed by the laws of Ireland. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Ireland.

12. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and sending you an email notification. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.

13. Assignment

You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent.

We may assign or transfer these Terms, and any rights and obligations under them, to an affiliate, successor, or acquirer of all or substantially all of our business or assets, without your consent. In such event, we will notify you of the assignment and the assignee will assume all our obligations under these Terms.
